SEMRUSH ARTIFICIAL INTELLIGENCE FUNCTIONALITY TERMS

These Semrush Artificial Intelligence Functionality Terms ("AI Terms") apply with respect to your use of Semrush Services containing generative artificial intelligence functionality ("AI Generative Services"), as hereinafter defined, and form part of the Semrush Terms of Service available at https://www.semrush.com/company/legal/terms-of-service/ or such other applicable agreements between you and Semrush ("Semrush Terms of Service") governing your use of Semrush Services. By registering for, accessing, or using AI Generative Services, you acknowledge that you have read, understood, and agree to be bound by these AI Terms. Capitalized terms not defined herein shall have the meanings assigned to them in the Semrush Terms of Service. In the event of any conflict between these AI Terms and the Semrush Terms of Service, these AI Terms shall prevail solely with respect to AI Generative Services.


DEFINITIONS

  1. "AI Generative Services" - means those Semrush Services that contain or consist of artificial intelligence or similar technologies and allow Users to generate, create, analyze, edit, and distribute Generative Services Output.
  2. "Generative Services Output" - means the created and/or edited content, content insights, recommendations, business descriptions, User Input reports provided by Semrush as the result of using AI Generative Services.
  3. "User Input" - means any text, images, data or any other content you upload, submit, distribute and/or edit using the AI Generative Services.

AI GENERATIVE SERVICES SPECIFICS AND PRINCIPLES

  1. Semrush does not train or develop its models, and does not allow its third-party providers to train or develop its models on User Input.
  2. You retain all rights you may have in User Input.
    You are solely responsible for User Input and shall ensure that you have all the rights and permissions to make available User Input while using AI Generative Services.
  3. In connection with your use of AI Generative Services, you may receive Generative Services Output generated and returned by AI Generative Services. You are solely responsible for the distribution, operation, maintenance and use of User Input and Generative Services Output.
  4. Notwithstanding any terms to the contrary in this Agreement, solely to enable us to provide AI Generative Services to you and improve our AI Generative Services, you give us the right to:
    • use, store, modify, edit, and delete User Input;
    • transfer and make User Input available to third-party artificial intelligence service providers.
  5. Semrush grants you a worldwide, non-exclusive, prepaid, perpetual license to use, store, edit, delete, publish, and make available to third parties the Generative Services Output. Please note that these rights are granted to you only to the extent Semrush has such rights.
  6. Semrush may use third-party providers as part of the AI Generative Services functionality, including but not limited to Open AI products, Stable Diffusion, MidJourney.
  7. You shall use AI Generative Services in compliance with all applicable laws, and shall not use AI Generative Services for fully-automated decision-making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation; to provide medical advice and medical results interpretation; or to generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use) as well as use of AI Generative Services and/or Generative Services Output in high-risk AI models and/or in prohibited AI models as defined in EU AI Act. You agree to only use Generative AI Services in an ethical and responsible manner.
  8. Our AI Generative Services are not intended to collect personal data from you, and you must not include personal data in any User Input that is passed through our AI Generative Services unless you comply with all data protection and privacy laws and regulations applicable to the personal information, including providing privacy notices and obtaining consent, where required. Semrush will process any personal data provided by you for registration for the AI Generative Services (e.g. when creating an account), in accordance with our Privacy Policy.

WARRANTY DISCLAIMER

WITHOUT LIMITING THE WARRANTY DISCLAIMER OR THE LIMITATION OF LIABILITY SET FORTH IN THE SEMRUSH TERMS OF SERVICE, SEMRUSH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, RELATING TO THE AI GENERATIVE SERVICES, INCLUDING ANY WARRANTIES THAT THE AI GENERATIVE SERVICES OR THEIR OUTPUTS WILL BE FREE FROM ERRORS, BIAS, OR OMISSIONS, OR THAT THE OUTPUTS WILL BE UNIQUE, ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE.

CHANGES

WE MAY CHANGE THE TERMS AND PROVISIONS OF THESE AI TERMS FROM TIME TO TIME BY POSTING THE UPDATED TERMS ON OUR WEBSITE. YOU CAN REVIEW THE MOST CURRENT VERSION OF THIS AGREEMENT AT ANY TIME AT HTTPS://WWW.SEMRUSH.COM/COMPANY/LEGAL/SEMRUSH-ARTIFICIAL-INTELLIGENCE-SERVICES-TERMS/ OR A SUCCESSOR URL THAT WE MAY DESIGNATE. THE REVISED TERMS AND CONDITIONS WILL BECOME EFFECTIVE IMMEDIATELY AFTER WE POST THE UPDATED TEXT ON OUR WEBSITE. IF YOU USE THE SERVICES AFTER SUCH DATE, SUCH USE WILL CONSTITUTE ACCEPTANCE OF THE REVISED TERMS AND CONDITIONS.
